The majority of businesses consider terms and conditions as an aside which is not germane to their business. Particularly in today's credit constrained markets, where all businesses are looking to seek incremental gains and avoid unnecessary costs, this has never been further from the truth.
It is estimated that over half commercial trading takes place on the terms hidden on the 'back of an invoice'.
Terms and conditions that are not properly incorporated into the contractual arrangements can therefore have no effect or do not reflect the commercial relationship that the parties intended to put in place. The irony is it does not take a huge exercise to put this right, but most businesses fail to do so as they focus on a few key contracts leaving them exposed on a far wider range of smaller relationships which are far more likely to go wrong.
